01Acceptance & Engagement
These Terms and Conditions ("Terms") govern the provision of digital marketing, SEO, paid advertising, and custom website development services by MJ Digi Solution ("Agency", "we", "us") to the client ("Client", "you"). By submitting an inquiry, approving a digital Statement of Work (SOW), or paying an initial invoice, you agree to be bound by these Terms.
02Scope of Services & SOW
All campaigns, technical sprints, and development phases are formally defined in a dedicated Statement of Work (SOW) or digital service agreement. The SOW outlines:
Any work requested outside the agreed SOW scope will be quoted separately under a Change Order before commencement.
- Specific deliverables (e.g. technical audit, keyword architecture, backlink quotas, ad copy variants, responsive page layouts).
- Milestone delivery schedules and estimated campaign launch dates.
- Retainer fee structures and third-party platform pass-through costs.
03Intellectual Property & Code Ownership
MJ Digi Solution retains ownership of pre-existing proprietary tools, frameworks, and reusable agency code libraries (e.g. boilerplate starter components), and grants you a perpetual, royalty-free, non-exclusive license to use such libraries as integrated into your final website.
04Client Access & Responsibilities
To achieve compounding growth and adhere to project deadlines, the Client agrees to:
- Provide timely delegated access to necessary digital platforms (Google Search Console, Google Tag Manager, Meta Business Suite, DNS registrar).
- Review and provide feedback or approval on submitted wireframes, ad creatives, or stage previews within 5 business days.
- Ensure all supplied trademarks, product photographs, copy, and logos do not infringe on any third-party intellectual property rights.
05White-Hat Marketing Ethics & Compliance
MJ Digi Solution is dedicated to sustainable, white-hat growth. We strictly comply with:
- Google Search Essentials: Zero deployment of doorway pages, hidden redirects, automated link spam, or scraped PBN networks.
- Advertising Platform Policies: All ad copy and creative collateral are designed in compliance with Google Ads and Meta Advertising Standards.
- Realistic Performance Guarantees: While we guarantee relentless technical optimization, high-authority link quality, and ROAS-focused media management, search engine rankings and final third-party algorithmic behaviors cannot be guaranteed by any ethical agency.
06Billing & Payment Schedules
Payment terms are established as follows:
- Website Development Projects: Billed across structured milestones (e.g., 50% deposit upon kickoff, 50% upon final staging approval prior to DNS migration).
- Monthly Marketing Retainers (SEO / PPC): Invoiced on a recurring 30-day billing cycle in advance of each monthly performance sprint.
- Invoicing Terms: Invoices are payable within 7 calendar days of issuance. Late payments exceeding 14 days may result in a temporary pause of active campaign management.
07Mutual Confidentiality (NDA)
Both parties agree that all confidential information—including financial figures, customer data, unreleased marketing campaigns, product roadmaps, and trade secrets—shared during the engagement shall remain strictly confidential and will not be disclosed to any third party without prior written authorization.
08Warranties & Limitation of Liability
We warrant that all web development and technical deliverables will be performed in a professional, workmanlike manner in compliance with prevailing modern industry standards. We provide a 30-day warranty following website launch to correct code defects or styling regressions.
To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, or consequential damages (including loss of profits or business interruption). Our total aggregate liability arising out of any engagement shall not exceed the total fees paid by Client to Agency under the applicable Statement of Work during the preceding three (3) months.
09Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the applicable operational jurisdiction. In the event of a dispute, both parties agree to first engage in good-faith informal negotiations for a period of thirty (30) days prior to pursuing formal mediation or legal proceedings.
